Exclusive Agency Marketing Terms:
EXCLUSIVE AGENCY MARKETING AGREEMENT This Agreement (this "Agreement") is between Keller Williams Realty, represented by Jason Stone, (sometimes referred to in this Agreement as "Broker," "We," "Us" or "Our") and you, the seller identified in the name field on the Registration Section where you entered your name (you are sometimes referred to in this Agreement as "You" or "Your"). 1. The property is offered for sale at the Offering Price You entered above or such other price as later agreed upon, which price includes any Selling Broker compensation. In the event of a sale, the Seller will sign a sales contract enforceable in the jurisdiction where the property is located. The Sales Price includes the following personal property and fixtures which shall be transferred free of liens: A. Any existing built-in heating and central air conditioning equipment, plumbing and lighting fixtures, storm windows, storm doors, screens, installed wall-to-wall carpeting, window shades, blinds, smoke and heat detectors, tv antennas, exterior trees and shrubs and B. The items You checked off above as currently installed or offered. The Seller will deliver the Property in substantially the same condition as on the Contract Date and in broom clean condition with all trash and debris removed. The Seller will warrant to the Buyer that the existing appliances, heating and cooling, plumbing and electrical systems and equipment and smoke and heat detectors (as required) will be in normal working order as of the possession date (unless Property is being offered in "As Is" condition). 2. This Exclusive Right To Sell Agreement will commence on the date (the "Commencement Date") when You select the "I Agree" button and enter, Your name, an E-Mail address and will expire 365 days from Commencement Date. The Seller may withdraw this Agreement at any time by giving the Broker written notice. 3. The Property shall be shown and made available without regard to race, color, religion, sex, handicap, familial status or national origin as well as all classes protected by the laws of the United States and the applicable local and state jurisdictions. 4. The Broker shall make a blanket unilateral offer of cooperation and compensation to other brokers in any Multiple Listing Service that the Broker deems appropriate. The Broker shall disseminate information regarding the Property, including the entry date, listing price(s), final price and all terms, and expired or withdrawn status, by printed form and/or electronic computer service during and after the expiration of this Agreement. The Broker shall enter the listing information into the MLS data base within 48 hours (unless otherwise instructed in writing by the Seller) after all Sellers' acceptance have been obtained. 5. In consideration of the use of the Broker's services and facilities and of the facilities of any REALTOR Multiple Listing Service, the Seller and Seller's heirs and assigns hereby release the Broker, sales associates accompanying buyers or prospective buyers, any REALTOR Multiple Listing Service and the directors, officers and employees thereof, including officials of any parent Association of REALTORS, except for malfeasance on the part of such parties, from any liability to the Seller for vandalism, theft or damage of any nature whatsoever to the Property or its contents during the term of this Agreement, and that the Seller waives any and all rights, claims and causes of action against them and holds them harmless for any property damage or personal injury arising from the use or access to the Property by any person during the term of this Agreement. 6. The Seller retains full responsibility for the Property, including all utilities, maintenance, physical security and liability during the term of this Agreement and the sales contract period. Licensed real estate salespersons and appraisers, inspectors and other persons shall be given access as needed to the Property to facilitate and/or consummate a sale. 7. Condominiums or Cooperatives being offered for sale are subject to the receipt by buyers of the required Disclosures, and the Seller is responsible for payment of appropriate fees and for providing these disclosures to prospective buyers as prescribed in any Condominium Act of the state or local jurisdiction. 8. If the Property is part of a Property Owner's Association, the Seller is responsible for payment of the appropriate fees and for providing required Disclosures to the buyers. 9. The Seller represents that the residential dwelling(s) at the Property were constructed as You entered above. If the dwelling(s) were constructed before 1978, the Seller is subject to Federal law concerning disclosure of the possible presence of lead-based paint at the Property, and the Seller acknowledges that the Broker has informed the Seller of the Seller's obligations under the law. If the dwelling(s) were constructed before 1978, unless exempt under 42 U.S.C. 485d, the Seller will complete and provide to the Broker the form, "Sale: Disclosure And Acknowledgement of Information On Lead-Based Paint And/Or Lead-Based Paint Hazards" or equivalent form. 10. Other Terms. Seller agrees to pay Keller Williams Realty $299 in advance for placing the Property in the Multiple Listing Service and on the Internet. All showing, inquiries and contracts are to be presented directly to Owner without the Broker. No Multiple Listing Service or Association of REALTORS is a party to this Agreement and no Multiple Listing Service or Association of REALTORS sets, controls, recommends or suggests the amount of compensation for any brokerage service rendered pursuant to this Agreement. 11. Replacement Agreements. If You commence any property showings, You may be requested to enter into a hard copy written agreement with Us (a "Replacement Agreement") to address Your particular needs or requirements, and to further define Our relationship with You. The Replacement Agreement may supersede some or all of this Agreement with respect to its subject matter. 12. Dispute Resolution. Except for the right to seek injunctive relief or other equitable remedies, all claims, disputes and controversies and other matters in question between the parties to this Agreement, arising our of, or relating to this Agreement, or the breach thereof, which cannot be resolved by the parties, shall be settled by binding arbitration pursuant to the rules then in effect of the American Arbitration Association under its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Notwithstanding any provisions in such rules to the contrary, the arbitrator(s) shall have no authority to add or detract from the agreements of the parties. 13. The terms and conditions of this Agreement must be used as a basis for presenting the Property to prospective buyers, and, unless amended in writing, contains the entire Agreement between the parties hereto.

Understanding Whom Real Estate Agents Represent Agreement to the terms and conditions of this Notice is required if you are conducting business in the State of Maryland. Prior to signing a hard copy version with your broker and/or if you are conducting business in any other state, you should read and understand the terms and conditions of this Notice. Before you decide to sell or buy or rent a home you need to consider the following information: Agents Who Represent the Seller Seller's Agent: A seller's agent works for the real estate company that lists and markets the property for the sellers, or landlords, and exclusively represents the sellers or landlords. That means that he or she may assist the buyer or tenant in purchasing or renting the property, but his or her duty of loyalty is only to the sellers or landlords. The seller pays the seller's agent's fees as specified in a written listing agreement. Cooperating Agent: A cooperating agent works for a real estate company different from the company for which the seller's agent works. The cooperating agent can assist a buyer or tenant in purchasing or renting a properly, but his or her duty of loyalty is only to the sellers or landlords. The cooperating agent's fee is paid by the sellers or landlords through the sellers agent's company. Agents Who Represent the Buyer Presumed Buyer's Agent (no written agreement): When a person goes to a real estate agent for assistance in finding a home to buy or rent, the agent is presumed to be representing the buyer and can show the buyer properties that are not listed by the agent's real estate company. A presumed buyer's agent may not make or prepare an offer or negotiate a sale for the buyer. The buyer does not have an obligation to pay anything to the presumed agent. If for any reason the buyer does not want the agent to represent him or her as a presumed agent, either initially or at any time, the buyer can decline or terminate a presumed agency relationship simply by saying so. Buyers Agent (by written agreement): A buyer or tenant may enter into a written contract with a real estate agent that provides that the agent will represent the buyer or tenant in locating a property to buy or rent. The agent is then known as the buyer's agent. That agent assists the buyer in evaluating properties and preparing offers, and negotiates in the best interests of the buyer or tenant. The agent's fee is paid according to the written agreement between the agent and the buyer or tenant. If you as a buyer or tenant wish to have an agent represent you exclusively, you must enter into a written buyer agency agreement. Dual Agents: The possibility of dual agency arises when the buyers agent and the seller's agent both work for the same real estate company, and the buyer is interested in properly listed by that company. The real estate company, or broker, is called the "dual agent". Dual agents do not act exclusively in the interests of either the seller or buyer, or landlord or tenant, and therefore cannot give undivided loyalty to either party. There may be a conflict of interest because the interests of the seller and buyer may be different or adverse. If both seller and buyer, or landlord and tenant, agree to dual agency by signing a Consent For Dual Agency form, then the real estate company (the "dual agent") will assign one agent to represent the seller or landlord (the sellers "intra-company agent") and another agent to represent the buyer or tenant (the buyers "intra-company agent"). Intra-company agents may provide the same services to their clients as exclusive seller's or buyers agents, including advising their clients as to price and negotiation strategy, provided the clients have both consented to be represented by dual agency. If either party does not agree to dual agency, the real estate company may withdraw the agency agreement for that particular property with either the buyer or seller, or both. If the seller's agreement is terminated, the seller must then either represent himself or herself or arrange to be represented by an agent from another real estate company. If the buyer's agreement is terminated, the buyer or tenant may choose to enter into a written buyer agency agreement with an agent from a different company. Alternatively, the buyer or tenant may choose not to be represented by an agent of his or her own but simply to receive assistance from the seller's agent, from another agent in that company, or from a cooperating agent from another company. No matter what type of agent you choose to work with, you have the following rights and responsibilities in selling or buying or renting property: - Real estate agents are obligated by law to treat all parties to a real estate transaction honestly and fairly. They must exercise reasonable care and diligence and maintain the confidentiality of clients. They must not discriminate in the offering of properties; they must promptly present each written offer or counteroffer to the other party; and they must answer questions truthfully. - Real estate agents must disclose all material facts that they know or should know relating to a property. An agent's duty to maintain confidentiality does not apply to the disclosure of material facts about a property. - All agreements with real estate agents should be in writing and should explain the duties and obligations at the agent. The agreement should explain how the agent will be paid and any fee sharing agreements with other agents. - You have the responsibility to protect your own interests. You should carefully read all agreements to make sure they accurately reflect your understanding. A real estate agent is qualified to advise you on real estate matters only.
